About these terms

These terms are an agreement between you and Ladeworks ("Ladeworks", "we", "us"). They cover the Ladeworks website and app. By creating an account or using Ladeworks you agree to them.

If you use Ladeworks for a company, you confirm you can accept these terms for that company.

Accounts and workspaces

You sign up with an email and password, or with Google. Give us accurate details and keep your login safe. You are responsible for what happens under your account.

Your data lives in a workspace. The person who creates a workspace is its Owner. Owners and Admins can invite members and set their roles. You are responsible for the people you invite and for what they do in your workspace.

You can delete your account yourself from Account settings after confirming. Workspaces you own where you are the only member are deleted with it and their subscriptions are cancelled. If you own a workspace that has other members, transfer ownership or delete that workspace first. You are removed from workspaces you belong to, your sessions end, and we email you a confirmation.

You must be old enough to form a binding contract where you live, and at least 16.

Your responsibility for connected systems and data

Ladeworks connects to systems you choose, such as your own APIs and file servers, and moves data between them on your instructions.

You confirm that you have the right to connect each system, to use the credentials you give us, and to move the data your workflows move. That includes any permission you need from your customers, employees, partners or the owners of the systems. You also confirm that the terms of those systems allow this use.

You decide what each workflow does. We run it as you set it up. Check a workflow before you turn it on, and check its results.

Acceptable use

Do not use Ladeworks to:

  • attack, probe or overload any system, or try to reach systems you are not allowed to reach
  • get around the limits on your plan, or the limits on our outbound requests
  • scrape or collect data in a way that breaks the terms of the system you collect it from
  • send spam or unsolicited messages
  • store, move or process data that is unlawful, or data you have no right to handle
  • reach private or internal network addresses (we block these), or hide where requests come from
  • break, reverse engineer or interfere with Ladeworks, or access another workspace
  • resell Ladeworks to others as a competing service without our written agreement

Requests from Ladeworks to your systems are rate limited and have timeouts and size limits. Those limits protect your systems, ours and other customers. Your plan sets how often workflows may run and how large files can be.

We may pause a workflow or an integration that breaks these rules or puts others at risk.

Plans, API calls and spending caps

Ladeworks has a Free plan and paid plans. The current plans, prices and limits are on the pricing page and inside the app under Plan and billing. Limits cover things like active workflows, integrations, API calls each month, how often workflows can run, file size and how long run history is kept.

Free plan. Free is for trying Ladeworks. It has the lowest limits, simple workflows only, and no extra calls: when you reach the included API calls, your workflows pause until the next month or until you upgrade. We may change or end the Free plan with notice.

Metered API calls. We count API calls as described on the pricing page and in the app. Our count is the count used for usage and billing.

Extra calls and spending caps. On Starter and Pro, calls past your included amount cost $1 per 1,000, up to the spending cap you set. When your workflows reach the cap, they pause until the 1st of the next month or until you raise the cap. You can change the cap at any time. It is your job to set a cap that suits you. Business plans have custom rates set in your agreement.

We may change plan limits and prices with notice (see Changes to these terms). A price change applies from your next renewal.

Billing, renewal and cancellation

Paid plans are billed monthly in advance, plus any extra calls and add-ons from the period before. Payments are handled by Stripe. We do not store full card numbers. You authorize us and Stripe to charge your payment method each period until you cancel.

Auto-renewal. Your plan renews each month at the then current price until you cancel or downgrade. We show the renewal date under Plan and billing.

Cancelling and downgrading. You can cancel a Starter or Pro plan at any time in the app, under Plan and billing. The plan stays active until the end of the period you have paid for, you are not charged again, and you can undo the cancellation before that date. Then the workspace moves to the Free plan. Extra calls you use before then are billed on your final invoice. Workflows that are on are paused, not deleted, and you choose which to turn back on. Free keeps run history for fewer days than paid plans, so older runs are deleted after the plan ends. A Business plan is managed with us: write to billing@ladeworks.com to cancel it. You can move to another paid plan in the app. A move to a lower paid plan can be blocked until you change things that the lower plan does not allow.

No refunds. All payments are final. We do not refund any part of a billing period, unused calls or add-ons, or charges for usage that already happened, except where the law requires a refund. If we made a billing mistake, tell us at billing@ladeworks.com and we will fix it.

Taxes and failed payments. Prices do not include taxes unless we say so. If a payment fails, we may retry it, pause your workflows, or move you to the Free plan after notice.

Your data and our license to run workflows

You own your data. We do not claim any rights to the data that moves through your workflows, to your integration settings, or to your credentials.

You give us a limited license to host, copy, process, transmit and display that data, only as needed to run Ladeworks for you: to run your workflows, show you run history, send you alerts, keep your service secure, and meet legal duties. The license lasts while we hold your data.

We do not sell your workspace data and we do not use it to train AI models. The Privacy policy explains more.

We may use usage numbers that do not identify you or your data, such as how many calls the service handles, to run and improve Ladeworks.

Data retention

Run history, responses, payloads and output files are kept for a set time and then deleted. The time depends on your plan: 3 days on Free, 7 days on Starter, 14 days on Pro, and 90 days or more on Business.

After that time the data is gone and we cannot get it back. If you need records for longer, download them before they expire, or use a plan that keeps them longer. Copies on your own servers are not affected.

Third-party services

Ladeworks works with services we do not control:

  • Your own APIs and file servers. We act on your behalf when we call them. Their terms and their availability are between you and them.
  • Stripe, which handles payments.
  • Google (Google Workspace), which delivers our email, such as alerts and receipts.
  • Anthropic, whose AI reads public API documentation pages to help you set up an integration. It does not receive your workspace data.
  • Slack and Discord, if you connect them for alerts.
  • Google, if you sign in with Google or when your browser loads our fonts.

We are not responsible for those services, and an outage or change there may affect your workflows. The Privacy policy lists the providers that handle data for us.

Availability and support

We work to keep Ladeworks running, but we do not promise it will always be available or error free. There is no uptime commitment (service level agreement) unless we agree one with you in writing. We may take the service down for maintenance, and we will try to give notice when it matters.

Support depends on your plan, as shown on the pricing page.

Suspension and termination

You can stop using Ladeworks at any time and delete your workspace if you are its Owner.

We may suspend or end your account or your access to Ladeworks at any time, for any reason or no reason, with or without notice. We do not owe you a refund when we do (see Billing, renewal and cancellation).

When an account is suspended or ends, your access ends. Export and deletion work as described in the next section. Your right to use Ladeworks ends. Terms that by their nature should continue, such as ownership, payment owed, disclaimers, liability limits and governing law, continue.

Export and deletion after termination

Before you cancel or delete a workspace, download what you want to keep, such as run details and output files. If we end your access for a reason other than a serious breach, we will give you a reasonable time to export your data.

When an Owner deletes a workspace, we cancel its paid subscription and delete everything in it from our database straight away: integrations and their stored credentials, workflows, run history, payloads and stored files. Copies in database backups are not restored except to recover from a failure, and expire on the backup schedule. We keep billing records as long as tax and accounting law requires.

Disclaimers

Ladeworks is provided "as is" and "as available". To the extent the law allows, we give no warranties, express or implied, including for fitness for a particular purpose, merchantability, non-infringement, or that the service will be uninterrupted, secure or error free.

We do not promise that a workflow will give the result you want. Mapping rules, schedules and the systems you connect are under your control.

Limits on liability

The service is provided "as is" and "as available". To the fullest extent permitted by law, Ladeworks, and its owners, staff and suppliers, are not liable for any damages of any kind arising from or related to the service or these terms. That includes direct, indirect, incidental, special, consequential, exemplary and punitive damages, lost profits, lost revenue, lost or corrupted data, and business interruption, whatever the legal theory (contract, tort including negligence, or anything else), and even if we were told the damages were possible.

If the law where you live does not allow a full exclusion of liability, our liability is limited to the smallest amount that the law permits.

Indemnity

You will defend and cover us against claims, losses and costs (including reasonable legal fees) that come from your data, from your use of Ladeworks in breach of these terms or the law, or from a claim that you had no right to connect a system or move data. We will tell you about the claim promptly and let you handle it, and we will help at your cost.

Changes to these terms

We may update these terms. For material changes we will email the Owner or post a notice in the app at least 30 days before they apply, unless the law or an urgent security need requires faster action. If you keep using Ladeworks after the change applies, you accept it. If you do not agree, cancel before the change applies.

Governing law

These terms are governed by the laws of the United States, without regard to its conflict of laws rules. Courts located in the United States have exclusive jurisdiction over disputes, except where the law of your country gives you the right to bring a claim elsewhere.

If part of these terms is found unenforceable, the rest stays in force. These terms, with the pricing page and the Privacy policy, are the whole agreement between us about Ladeworks, unless we sign a separate agreement with you.
